These EBII Membership Terms & Participation Agreement ("Agreement") govern membership in EBII Group Corp. ("EBII", "we", "our", or "us"), a U.S.-registered Public Benefit Corporation headquartered in Washington, D.C.
By applying for, purchasing, renewing, or participating in an EBII membership, or by selecting "I Agree" during online registration, you ("Member", "you", or "your") acknowledge that you have read, understood, and agree to be legally bound by this Agreement.
If you are entering this Agreement on behalf of an organisation, institution, diplomatic mission, embassy, government agency, company, or other legal entity, you represent and warrant that you have the authority to bind that entity.
EBII Membership is a professional and institutional engagement platform designed to facilitate strategic dialogue, investment connectivity, executive convenings, market intelligence, policy engagement, and partnership development among stakeholders operating at the intersection of government, business, finance, innovation, diplomacy, and international markets.
Membership provides access to selected EBII programming, convenings, strategic insights, institutional engagement opportunities, and other benefits, depending on the membership tier selected.
Please note: EBII reserves the right to evolve, amend, expand, or discontinue membership benefits, programming, events, or offerings at its sole discretion. Membership does not guarantee access to any specific government official, investor, institution, contract, financing opportunity, diplomatic delegation, or commercial outcome.

EBII reserves the right to approve, deny, suspend, or terminate any membership application or renewal at its sole discretion where participation may create legal, regulatory, reputational, operational, security, sanctions, or mission-alignment concerns. Membership may not be used for unlawful, misleading, fraudulent, politically prohibited, or reputationally harmful purposes.
EBII currently offers the following membership tiers:
EBII may limit membership capacity for selected tiers to preserve the quality, integrity, and institutional nature of the network.
Membership may be held by an individual or legal entity. Institutional, organisational, embassy, corporate, or government memberships may designate one or more authorised representatives to access membership benefits. The Member is responsible for ensuring representatives comply with this Agreement.
Membership access may not be transferred, assigned, sublicensed, or resold without prior written consent from EBII. EBII reserves the right to limit participation to designated representatives where necessary for operational, security, venue, or programme reasons.
All memberships are issued annually (12 months) beginning on the date of purchase, activation, or approval. Memberships automatically renew for successive one-year periods unless cancelled before the renewal date.
Important: By purchasing a membership, you authorise EBII and its payment processor to charge the applicable membership fee to your selected payment method on a recurring annual basis unless cancelled. EBII may adjust membership fees from time to time. Any fee changes shall apply at the next renewal cycle.
Failure to pay membership fees may result in suspension or termination of benefits.
Members may cancel automatic renewal at any time by written notice to EBII before the renewal date. Cancellation will take effect at the end of the then-current membership term.
All membership fees are non-refundable. Once membership has been purchased, activated, renewed, or approved, no refunds, credits, or partial reimbursements shall be issued, including in circumstances involving:
EBII reserves the sole discretion to provide goodwill exceptions in extraordinary circumstances.
EBII organises and facilitates conferences, summits, executive roundtables, diplomatic convenings, investor engagements, workshops, briefings, and other activities in the United States and internationally.
Membership may provide access to selected events depending on the Member's tier, availability, security requirements, invitation criteria, venue capacity, programme relevance, and operational considerations. Certain convenings may be:
Membership does not guarantee attendance, speaking opportunities, introductions, meetings, investment participation, government access, media placement, visa support, procurement opportunities, funding, or commercial outcomes.
EBII shall not be liable for travel expenses, accommodation costs, visa fees, lost business opportunities, or consequential losses arising from event changes, cancellations, delays, government actions, or force majeure events.
Certain membership tiers may include benefits relating to the African Leaders & Partners (ALP) Summit, diplomatic gatherings, investor roundtables, executive briefings, or other strategic convenings. Event-related benefits are subject to:
EBII reserves the right to substitute, amend, suspend, or modify any event-related benefit at its sole discretion. VIP seating, diplomatic roundtables, investor sessions, executive engagements, and restricted-access programming remain subject to invitation, eligibility, security protocols, and capacity constraints.
Members are expected to conduct themselves professionally and respectfully in all EBII engagements. Members agree not to:
Members may not publicly represent their EBII membership in a manner that implies: (a) endorsement by EBII of the Member's products, services, policies, or activities; (b) affiliation with or representation of any government agency, diplomatic mission, or official body through EBII; (c) guaranteed access to investment, funding, contracts, or procurement opportunities; or (d) a partnership, joint venture, or formal commercial relationship with EBII beyond the membership engagement described in this Agreement.
Certain EBII convenings, roundtables, diplomatic engagements, and strategic discussions may involve confidential, non-public, or commercially sensitive information. Where indicated by EBII, Members agree:
Unless otherwise expressly stated, participation in selected convenings may operate under principles similar to the Chatham House Rule, whereby information may be used but identities and affiliations of speakers or participants may not be disclosed without permission. These obligations survive termination of membership.
By attending EBII events, Members acknowledge and consent that photographs, video recordings, livestreams, interviews, audio recordings, or other media may be captured. EBII may use such content for event reporting, marketing and communications, social media, publications, media relations, and promotional and institutional purposes.
Members grant EBII a royalty-free, worldwide, perpetual, irrevocable right to use their name, image, voice, likeness, organisation name, and participation in connection with lawful EBII communications and promotional activity.
Members who require media restrictions due to diplomatic, security, governmental, or professional reasons must notify EBII in writing before attendance. EBII will make reasonable efforts to accommodate such requests but cannot guarantee exclusion from incidental event coverage.
Members represent and warrant that they:
EBII reserves the right to deny participation, suspend membership, cancel attendance, or terminate relationships where legal, sanctions, reputational, or compliance risks arise.
Each Member represents and warrants to EBII, at the time of application and on each renewal, that:
Any material change to the accuracy of these representations must be notified to EBII promptly in writing.
EBII Membership is intended to facilitate professional networking, institutional engagement, executive convenings, market dialogue, ecosystem participation, strategic visibility, and informational exchange.
EBII does not provide legal, investment, tax, accounting, immigration, sanctions, regulatory, lobbying, financial, or professional advisory services through membership unless separately contracted in writing. Nothing provided through EBII Membership constitutes:
Members are solely responsible for obtaining independent professional advice before acting upon information received through EBII.
To the fullest extent permitted by applicable law, EBII Group Corp., its officers, directors, employees, contractors, advisors, affiliates, volunteers, speakers, partners, sponsors, and representatives shall not be liable for any indirect, consequential, incidental, special, reputational damages, lost profits, lost business opportunities, travel losses, data loss, or commercial losses.
Aggregate Liability Cap: EBII's total aggregate liability arising from or relating to membership shall not exceed the total membership fees paid by the Member during the twelve (12) months preceding the claim. Nothing in this Agreement excludes liability where exclusion is prohibited by law.
EBII reserves the right, at its sole discretion and without liability, to suspend, restrict, decline renewal of, or terminate membership where a Member breaches this Agreement, membership fees remain unpaid, a Member engages in reputationally harmful conduct, or continued membership is no longer aligned with EBII's mission.
Termination or suspension may result in immediate loss of access to membership benefits, convenings and events, reports and strategic briefings, online member access, and invitations and participation opportunities. No refunds shall be issued following suspension or termination.
All EBII content — including reports, briefings, event materials, publications, membership resources, branding, logos, research, strategic insights, website content, audio, video, and recordings — is owned by or licensed to EBII Group Corp. and protected by applicable intellectual property laws.
Members may not reproduce, republish, sell, redistribute, modify, commercially exploit, or publicly distribute EBII content without prior written permission. Membership does not transfer ownership rights or grant commercial licensing rights. Limited personal or internal organisational use for legitimate business purposes is permitted unless otherwise restricted.
EBII respects the privacy of its Members. By applying for or participating in Membership, you acknowledge that EBII may collect, process, store, and use information necessary for membership administration, billing and renewals, event registration, communications, strategic engagement, and programme improvement.
Personal data collected through membership registration, event participation, and related communications will be used solely for the purposes of membership administration, billing, event coordination, communications, and programme improvement. EBII will not sell or commercially transfer member personal data to third parties without the Member's prior written consent.
Where personal data is shared with third-party service providers for operational purposes, EBII will ensure that appropriate data processing agreements are in place and that such providers process data only on EBII's instructions and in accordance with applicable law.
Members have the right to request access to, correction of, or deletion of personal data held about them, and to withdraw consent to non-essential communications at any time. Requests should be directed to enquiry@ebiigroup.com. EBII will respond within 30 days of receipt.
Personal data will be retained for the duration of membership and for a period of no longer than three years following termination or expiry of membership, unless a longer retention period is required by law or legitimate operational necessity.
EBII will implement appropriate technical and organisational measures to protect personal data against unauthorised access, loss, destruction, or disclosure.
EBII shall not be liable for delay, interruption, suspension, cancellation, or failure to perform obligations arising from causes beyond its reasonable control, including but not limited to government actions, security restrictions, venue closures, diplomatic developments, public health emergencies, pandemics, natural disasters, political instability, labour disputes, travel disruptions, technology failures, cyber incidents, utility failures, or war, terrorism, or civil unrest.
Members agree to indemnify, defend, and hold harmless EBII Group Corp., its officers, directors, employees, advisors, contractors, volunteers, speakers, affiliates, and partners from and against claims, damages, liabilities, costs, expenses, or legal fees arising from breach of this Agreement, misconduct or unlawful behaviour, misrepresentation, misuse of Membership, violation of law, or infringement of the rights of third parties.
This Agreement shall be governed by and construed in accordance with the laws of the District of Columbia, United States of America, without regard to conflict of laws principles.
Any legal action, dispute, claim, or proceeding arising out of or relating to this Agreement, Membership, or participation in EBII activities shall be brought exclusively in the state or federal courts located in Washington, D.C. Members irrevocably consent to the exclusive jurisdiction and venue of such courts.
EBII reserves the right to amend, update, or modify this Agreement from time to time. Material changes may be communicated through the EBII website, email, or membership communications. Continued membership, renewal, or participation following changes constitutes acceptance of the revised Agreement.
By clicking "I Agree", "Join Membership", "Purchase Membership", "Submit", or similar acceptance mechanism, or by participating in Membership, the Member:
Electronic acceptance shall have the same legal effect as a handwritten signature.
This Agreement constitutes the complete agreement between EBII and the Member concerning Membership and supersedes all prior communications, understandings, representations, or agreements relating to Membership.
If any provision of this Agreement is found unenforceable, the remaining provisions shall remain in full force and effect. Failure by EBII to enforce any provision shall not constitute a waiver of rights.
